Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Soundwaves — the platform, websites, applications, and related services we provide for running radio stations and networks online (the “Service”). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

1. The Service

Soundwaves provides a content management system, audio streaming, music scheduling, and supporting tools that let you publish and operate one or more online radio stations. We may add, change, or remove features at any time, and we may set or change limits on storage, bandwidth, stations, or other resources associated with your plan.

2. Accounts and eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorised use of your account.

3. Your content

You retain ownership of the audio, images, text, station branding, and other material you upload or broadcast through the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, cache, and display Your Content solely to operate and provide the Service to you and your listeners.

You are solely responsible for Your Content and for ensuring you hold all rights, licences, and permissions necessary to use it, including:

  • valid music licensing and performance rights (for example PRS for Music, PPL, SoundExchange, or the equivalent bodies in your territory) for everything you broadcast;
  • rights to any speech, advertising, jingles, station idents, and third-party material you publish; and
  • consent for any personal data contained in Your Content.

Soundwaves does not provide music or broadcast licences and is not responsible for obtaining them on your behalf. You are responsible for any royalties, levies, or fees arising from your broadcasts.

4. Acceptable use

You agree not to use the Service, and not to allow anyone else to use the Service, to do any of the following. You must not:

  • upload, broadcast, or distribute content you do not have the legal right to use, or that infringes any copyright, trademark, or other intellectual property or proprietary right;
  • publish content that is unlawful, defamatory, harassing, hateful, obscene, or that incites violence or discrimination against any person or group;
  • publish or distribute content that sexualises minors, or any other content that is illegal to possess or transmit;
  • use the Service to send spam, deceptive, or unsolicited communications, or to operate phishing, fraud, or other deceptive schemes;
  • upload or transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to systems or data;
  • attempt to gain unauthorised access to the Service, other accounts, or our infrastructure, or probe, scan, or test the vulnerability of any system without our written permission;
  • interfere with or disrupt the integrity or performance of the Service, including by overloading, flooding, or launching denial-of- service attacks against it;
  • circumvent, disable, or otherwise interfere with usage limits, billing, authentication, rate limiting, or security features;
  • resell, sublicense, or white-label the Service except as expressly permitted in writing by us;
  • scrape, harvest, or systematically extract data from the Service other than through interfaces we provide for that purpose; or
  • use the Service in any way that violates applicable law or regulation, or that exposes us or our other customers to legal liability.

5. Enforcement, suspension, and removal

We may investigate suspected violations of these Terms and cooperate with law enforcement where appropriate. We may, at our discretion and without prior notice where we reasonably consider it necessary:

  • remove, disable, or restrict access to any content that we believe violates these Terms or applicable law;
  • throttle, suspend, or terminate your account or any station where we reasonably believe it is being used abusively, unlawfully, or in a way that harms the Service, other customers, or third parties; and
  • report unlawful activity to the relevant authorities.

Where practical and lawful, we will give you notice and an opportunity to remedy a violation. For serious or repeated violations — including anything illegal or that threatens the security or stability of the Service — we may act immediately. You remain responsible for any fees accrued up to the point of suspension or termination, and we are not liable to you for any action taken in good faith under this section.

6. Reporting abuse

If you believe content hosted on the Service infringes your rights or otherwise violates these Terms, contact us at [email protected] with enough detail to identify the content and the basis of your complaint. We respond to valid copyright and abuse notices and may remove or disable access to the content in question.

7. Plans, billing, and trials

Paid plans are billed in advance on a recurring basis at the prices shown when you subscribe. Promotional pricing (for example a reduced first month) applies only for the stated period, after which the standard plan price applies. Unless required by law, fees are non-refundable. You authorise us and our payment processor to charge your payment method for all fees due. We may change pricing on reasonable notice, with changes taking effect at your next billing cycle.

You can cancel at any time; cancellation takes effect at the end of your current billing period and stops future charges. We do not refund partial periods. Non-payment may result in suspension or termination of your account.

8. Intellectual property

The Service, including its software, design, and the Soundwaves name and logo, is owned by us or our licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. We welcome feedback, and you agree we may use any feedback you provide without obligation to you.

9. Third-party services

The Service may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms.

10. Warranties and disclaimers

We work hard to keep the Service reliable, but it is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content will be preserved without loss. Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business arising from or related to your use of the Service. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or £100.

12. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your breach of these Terms, or your violation of any law or the rights of a third party.

13. Termination

You may stop using the Service and close your account at any time. Following termination we may delete Your Content and account data in accordance with our Privacy Policy and our retention practices. Sections of these Terms that by their nature should survive — such as content licences you have granted, intellectual property, disclaimers, limitation of liability, and indemnity — survive termination.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you, for example by email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, except where mandatory local consumer law provides otherwise.
